DISTANCE SALES AGREEMENT

  1. PARTIES

This Distance Sales Agreement (“Agreement”) is entered into between:

BUYER

The individual or legal entity who purchases a product through the Seller’s website.

By placing an order, the Buyer confirms that they have reviewed the relevant product information, price, digital delivery conditions, and this Agreement before completing the purchase.

  1. SUBJECT OF THE AGREEMENT

This Agreement regulates the rights and obligations of the Seller and Buyer regarding the sale and electronic delivery of digital products offered through DigiBySonmez in accordance with applicable laws and consumer protection regulations.

The essential characteristics, price, payment information, and other details of the purchased product are displayed on the relevant product page and during the checkout process.

  1. DIGITAL PRODUCTS

Products offered through DigiBySonmez are digital products.

Depending on the product purchased, digital content may include:

  • PDF files
  • Microsoft Word documents
  • Microsoft Excel files
  • Templates
  • Dashboards
  • Procedures
  • Forms
  • Checklists
  • ISO management system documentation
  • Other downloadable digital resources

No physical products are shipped.

No physical shipping or delivery fees apply to digital products.

  1. DELIVERY OF DIGITAL PRODUCTS

Digital products are delivered electronically after successful payment and order confirmation.

Depending on the product, delivery may be provided through:

  • A secure digital download link
  • A PDF access file containing a download link
  • A secure cloud storage link
  • The Buyer’s account or order page

Digital products are generally made available immediately after successful payment.

In cases involving payment verification or technical processing, access may require additional processing time.

Delivery is considered completed once access to the purchased digital product or its corresponding access/download instructions has been provided to the Buyer.

The Buyer is responsible for providing accurate email, billing, and account information during the purchase process.

  1. PRICES AND PAYMENT

The applicable price and currency of each product are displayed on the relevant product page and/or during checkout.

Any applicable taxes or additional charges will be displayed in accordance with applicable requirements.

Payments may be processed through secure third-party payment service providers available on the website, including iyzico where applicable.

Payment card information is processed securely by the relevant payment service provider.

DigiBySonmez does not directly store complete credit or debit card details.

  1. RIGHT OF WITHDRAWAL AND DIGITAL CONTENT

Rights of withdrawal, cancellation, and refund are subject to applicable consumer protection laws.

For digital content supplied electronically, the right of withdrawal may cease where permitted by applicable law once the supply of digital content begins with the Buyer’s prior express consent and acknowledgment that the right of withdrawal may be lost upon commencement of performance.

Where immediate digital delivery is requested, the Buyer acknowledges that access to the purchased digital content may begin immediately following successful payment.

Nothing in this Agreement limits any mandatory consumer rights available under applicable law.

  1. BUYER’S OBLIGATIONS

The Buyer agrees to:

  • Provide accurate and complete information when placing an order
  • Ensure that the email address and other contact information provided are correct
  • Use purchased digital products in accordance with the applicable license terms
  • Not reproduce, resell, redistribute, sublicense, share, or commercially distribute purchased digital products except where expressly permitted in writing by DigiBySonmez
  1. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise stated, digital products, templates, documents, dashboards, graphics, forms, and other materials offered through DigiBySonmez are protected by applicable intellectual property laws.

Purchase of a digital product does not transfer ownership of the underlying intellectual property rights.

The Buyer receives a non-exclusive, non-transferable right to use the purchased digital product in accordance with the applicable product description and license terms.

  1. TECHNICAL ISSUES

If the Buyer experiences a technical problem accessing or downloading a purchased digital product, the Buyer may contact:

DigiBySonmez will make reasonable efforts to resolve legitimate access or file-related technical issues.

  1. LIMITATION OF LIABILITY

To the extent permitted by applicable law, the Seller shall not be responsible for problems resulting from circumstances outside its reasonable control, including:

  • Internet or network interruptions
  • Third-party service interruptions
  • Incorrect contact information provided by the Buyer
  • Incompatible software or systems on the Buyer’s device
  • Unauthorized or improper use of purchased digital products

Nothing in this section excludes or limits liability that cannot legally be excluded or limited under applicable law.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the Republic of Türkiye, subject to any mandatory consumer protection provisions that may apply.

For consumer disputes in Türkiye, applications may be made to the competent Consumer Arbitration Committees and Consumer Courts in accordance with applicable legislation and monetary limits.

For international transactions, mandatory consumer protection rights applicable to the Buyer may continue to apply where required by law.

Customers are encouraged to review these policies before completing a purchase.

  1. ACCEPTANCE

By completing an order, the Buyer confirms that they have been provided with the relevant product information, price, payment and digital delivery information, and that they have reviewed and accepted this Agreement electronically where required.
